1. TECHNICAL DATA.<\/strong> All technical data of the products sold are subject to any changes that the seller and the manufacturers reserve the right to make at any time.<\/p>\n

2. DELIVERIES.<\/strong> Deliveries of the goods sold are made ex works CTE SpA premises. Deliveries to a different location must be agreed in writing. In that case the goods travel at the Customer\u2019s risk, peril and responsibility. The agreed delivery times, unless otherwise agreed in writing, are never essential. In any case they shall be deemed extended in the event of unforeseen events (expressly including strikes), of delays in the delivery of machines by the manufacturers, or delays arising from transport, from the completion of banking, currency, customs or similar formalities, or from any assembly, inspection or set-up requirements. CTE SpA is released from any liability or obligation in this respect.<\/p>\n

3. COLLECTION OF THE MACHINES.<\/strong> The Customer must collect the Products on the date indicated by CTE SpA. If 30 (thirty) days elapse without the Customer having collected the goods, CTE SpA shall be entitled to terminate the contract, without prejudice in any case to the right to claim payment of the statutory default interest referred to in art. 4, in addition to compensation for any further damage resulting from the Customer\u2019s failure to collect the Products. CTE SpA shall also be entitled to definitively retain the advance payments and every instalment paid by the Customer, as well as the right to sell the uncollected goods to third parties. The difference between the contract price (increased by storage costs) and the price obtained from the resale shall constitute a debt of the Customer and shall bear conventional default interest at the same rate as for late payment referred to in art. 4.<\/p>\n

4. PURCHASE BY LEASING.<\/strong> In the event of purchase through a leasing company, upon completion of the leasing contract, which must take place within a maximum of 30 days, this proposal shall lapse, and the proposer shall be entitled to obtain the refund of the sum paid once the price has been paid in full by the leasing company. In any case, if the leasing contract is not completed, the proposer shall remain bound by this proposal for a period of 180 days plus the period during which negotiations with the leasing company took place. Where the sale price is paid in instalments, the Customer acknowledges the retention of title on the goods covered by this proposal until full payment of the price plus interest and expenses, and undertakes to hold CTE SpA harmless and indemnified against any prejudicial consequence or damage caused, also to third parties, as a result of the use of the machine covered by this proposal.<\/p>\n

5. VALIDITY OF THE SALES PROPOSAL.<\/strong> CTE SpA undertakes to maintain the prices and expected delivery times stated in this sales proposal, but reserves the right to revise them in the event of substantial increases in the costs of energy, raw materials or subcontracting arising from circumstances beyond the control of CTE SpA.<\/p>\n

6. PAYMENTS.<\/strong> Unless otherwise agreed in writing, payments must be made upon delivery of the product sold. Default interest as provided for by Italian Legislative Decree 231\/2002 shall accrue in favour of CTE SpA on any late payments. In the event of late payment, CTE SpA is authorised to issue a bank receipt, promissory note or bill of exchange.<\/p>\n

7. TRANSFER OF OWNERSHIP AND RISKS.<\/strong> When payment of the price is deferred, the buyer shall become the owner of the goods only upon payment of the entire price, interest and expenses. In such case, the sale is made and accepted with retention of title. The risks pass to the buyer upon delivery ex works CTE SpA premises, without prejudice to the provisions of art. 2 for deliveries to a different location. In the event of termination of the contract due to the buyer\u2019s default, it is agreed that the instalments of the price already paid shall in any case be retained by the seller as an indemnity, without prejudice to further damages.<\/p>\n

8. REPAIRS, MAINTENANCE AND LIABILITY.<\/strong> Any provision by CTE SpA of assistance and technical services for the maintenance and repair of the machine does not entail the assumption of any liability whatsoever by CTE SpA.<\/p>\n

9. USE OF THE MACHINES.<\/strong> The buyer, to the exclusion of any liability of the seller, bears full responsibility for the correct and appropriate use of the machine. In particular, the buyer is responsible for checking its efficiency and, in particular, for verifying that all the requirements of accident-prevention legislation are met and that all applicable laws and regulations on the use of the machinery are complied with.<\/p>\n

10. COMPLIANCE WITH THE LAW.<\/strong> The buyer, with the seller being exempt from any liability, is responsible for verifying strict compliance with legal provisions, including those on accident prevention. In particular, for work equipment subject to periodic inspection rules, the buyer is obliged to notify I.N.A.I.L. of its commissioning and to request the annual periodic inspection from the competent body. CTE SpA does not assume any criminal or civil liability arising from failure by the buyer or user to comply with legal provisions.<\/p>\n

11. GENERAL WARRANTY CONDITIONS.<\/strong> The CTE warranty is valid from the date of delivery to the end customer stated on the \u201cdeclaration of acceptance of delivery\u201d and covers manufacturing defects of the equipment. Defects must be notified in writing by the buyer no later than 5 days from their discovery and within the warranty expiry date.<\/p>\n

The warranty shall be deemed invalid if the declaration of acceptance of delivery contained in the warranty certificate, to which reference is made for all other conditions, is not completed, signed and returned to CTE SpA. WARRANTY ON TRUCKS\/VEHICLES: the manufacturer\u2019s warranty coverage applies in Italy and in foreign countries where there is a service network for that specific vehicle model. For vehicles sold in foreign countries where there is no warranty coverage, any special conditions must be agreed at the time of sale.<\/p>\n

12. APPLICABLE LAW AND JURISDICTION.<\/strong> This contract is governed by Italian law. The Court of Verona shall have exclusive jurisdiction over any dispute, regardless of the agreed method and place of payment and delivery.<\/p>\n

13. SOLVE ET REPETE CLAUSE.<\/strong> The customer may not raise objections regarding the performance of the contract by CTE SpA unless it has fully fulfilled its own obligations, in particular those concerning payment for the service, expenses and interest.<\/p>\n

14. ASSIGNMENT OF RECEIVABLES.<\/strong> CTE SpA is authorised to assign the receivables arising from this contract to a leading factoring or credit company.<\/p>\n

15. DOMICILE.<\/strong> For all purposes of the contract, CTE SpA elects domicile at its registered office in Localit\u00e0 Terramatta, 5 \u2013 Rivoli Veronese (VR), Italy, and the customer elects domicile as indicated in this form. Communications and notifications made at such domiciles shall be valid for all legal purposes. Any change of domicile, in order to be valid, must be notified to the other party by registered letter with acknowledgement of receipt.
